Zumera advises the UWS Group, market leader and innovation driver in the growth market of heating water treatment, on the sale to the Dutch technology group Aalberts N.V.

Zumera advised the UWS Group, the German market leader for heating water treatment, as exclusive M&A adviser on the sale to the Dutch technology group Aalberts N.V.

With Aalberts, the UWS Group has gained an internationally experienced partner with whom the next stage of growth and, especially, the focus on future international expansion is secured. The UWS Group, consisting of UWS Technologie GmbH and Heat-Power 24 GmbH, has established itself in recent years as an innovation driver in the high-growth market of heating water treatment and, with over 90 employees, is the motor of the Bavarian Mittelstand. The group's products are developed and manufactured in Insingen and play an important role in the sustainability of energy-efficient buildings. After years of growth, during which the companies benefited from the innovative power built up by the long-standing shareholder Hans-Georg Breitmoser, the UWS Group has established a clear position as market leader. The goal of the management team was therefore to find a suitable partner with whom the group of companies is optimally positioned for the next step in its development. Steffen Breitmoser and Rüdiger Bleyl will continue to be jointly in charge of the group. Zumera's sector-experienced deal team, led by Managing Director Felix Engelhardt, was able to quickly identify the right partner for this transaction due to its extensive sector expertise in heating technology, crafts, and industrial engineering, which is underpinned by numerous past transactions in these areas. Engelhardt commented: "With Aalberts N.V. we have found a listed technology group from the Netherlands that thinks and acts entrepreneurially. This makes Aalberts the right strategic and operational partner for the group and an ideal fit for the existing management team around Steffen Breitmoser and Rüdiger Bleyl." This excellent fit between the two companies not only meant that the transaction was successfully completed in just five months, but also that Steffen Breitmoser and Rüdiger Bleyl will remain with the group as managing directors. In addition, long-standing shareholder Hans-Georg Breitmoser will continue to support the UWS Group in the future from an external advisory role with ideas and concepts in order to further expand its innovation leadership. Steffen Breitmoser, Managing Director of the UWS Technologie GmbH said: " Thanks to Saxenhammer's expertise and always reliable support, not only were our expectations for the outcome of the transaction greatly exceeded, but we were also able to find the perfect strategic partner for the next phase of the UWS Group's development. Aalberts is an experienced technology group that also excels on a personal level, which is an important factor for us.” Rüdiger Bleyl, Managing Director of Heat-Power 24 GmbH added: "We felt optimally supported and advised by Felix Engelhardt and his team throughout the entire process, but especially during the intensive negotiations with a large corporation. In addition, the analyst team led by Philipp Köppe and Jannis Scheufen was available for us 24/7. We were thus always optimally prepared, even in the particularly intensive phases.” Hans-Georg Breitmoser continues that he is glad to have placed the sale of the group of companies in the right hands. The Zumera deal team consisted of Felix Engelhardt (Managing Director), Philipp Köppe (Manager) and Jannis Scheufen (Senior Analyst). Dr. Malte Schwertmann of meyerhuber rechtsanwälte partnerschaft provided legal advisory for the transaction.
